PLEASE READ THESE TERMS OF USE CAREFULLY. BY ACCESSING OR PARTICIPATING IN THE DIRECTV PERKS LOYALTY PROGRAM, YOU AGREE TO BE BOUND BY THESE TERMS AND ALL TERMS INCORPORATED HEREIN BY REFERENCE INCLUDING BINDING ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES WITH US. THIS MEANS YOU GIVE UP JURY TRIALS OR CLASS ACTIONS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT ACCESS OR PARTICIPATE IN THE DIRECTV PERKS LOYALTY PROGRAM.


TERMS AND CONDITIONS

These Terms and Conditions apply to your access to, and participation in, the DIRECTV PERKS LOYALTY PROGRAM ("DIRECTV PERKS"), which is operated by DIRECTV LLC or its respective parent companies, affiliated companies, subsidiaries, partners, promotion and administration agencies and any entity which is involved in any aspect of the creation, production, operation, execution or fulfillment of DIRECTV PERKS collectively, ("DIRECTV PERKS Entities"). These Terms and Conditions do not alter in any way the terms or conditions of any other agreement you may have with DIRECTV for other products or services.

By participating in DIRECTV PERKS you agree that we may collect, use, process, share, and disclose information about you and your participation in DIRECTV PERKS in accordance with the privacy policy applicable to your DIRECTV Service. If you are a Satellite or U-verse customer, the privacy policy applicable to your service is the DIRECTV Privacy Policy. If you are a Via Internet or DIRECTV Stream customer, the privacy policy applicable to your service is the DIRECTV Video Apps and Device Privacy Policy.


ABOUT DIRECTV PERKS

DIRECTV PERKS is one way in which DIRECTV endeavors to reward and thank loyal customers. DIRECTV PERKS members can earn and accumulate tokens ("Tokens") that can be redeemed for DIRECTV PERKS benefits ("Rewards") online by visiting https://perks.directv.com (“Website”). Tokens are not for resale or purchase and cannot be transferred or exchanged for money. Tokens or Rewards received by such means will be void as solely determined by DIRECTV.

DIRECTV PERKS eligible members are able to participate in DIRECTV PERKS and the variety of promotional programs being offered, the “Promotional Programs”) offered via the Website, each governed by a separate set of additional terms and conditions or by official Sweepstakes rules, as applicable. By participating in a Promotional Program, you will be subject to the applicable additional terms and conditions or rules, and you agree to comply with and abide by such and the decisions of DIRECTV and its representative or the applicable administrator of the Promotion. You may be asked to provide additional information, including personal information, to receive Rewards as part of a Promotional Program.


ELIGIBILITY

To join and participate in DIRECTV PERKS, you must:

  • Be a U.S. citizen or U. S. resident alien, both of whom must be physically located in one of the 50 United States or the District of Columbia and Puerto Rico and U.S. Territories;

  • Be age eighteen (18) or older and the age of majority in your place of residence;

  • Be a current active DIRECTV Satellite or Via Internet residential customer (excludes U-verse TV, DIRECTV STREAM, DIRECTV for Business accounts, and all other non-residential DIRECTV accounts including residential multi-dwelling unit accounts) with an account in “good-standing” as determined by DIRECTV in its sole discretion.

    • If your DIRECTV account is held jointly, only the first-named individual account holder will be eligible to participate in DIRECTV PERKS.

    • If you have multiple active accounts associated with your DIRECTV billing account number, only the active account with the longest tenure will be eligible to participate in DIRECTV PERKS.

    • If you cancel or disconnect your DIRECTV account, your DIRECTV PERKS account will also be disconnected, and you will no longer be able to earn or redeem any Tokens. If you reconnect your DIRECTV account within 60 days of cancelling, your DIRECTV PERKS account will be reinstated with the Tokens you had when the account closed minus any Tokens that expired.

    • Inactive accounts that have not been cancelled or disconnected will be eligible to spend remaining Tokens but are not eligible to earn additional Tokens.

  • By participating in DIRECTV PERKS, you agree to indemnify and hold harmless the DIRECTV PERKS Entities from and against any and all liability arising out of or relating in any way to your participation in DIRECTV PERKS and to release all rights to bring any claim, action or proceeding against the DIRECTV PERKS Entities. This includes, but is not limited to, any and all claims, demands, damages and causes of action for personal injuries or death and/or damage to personal or real property, theft, loss or any other harm, suffered directly or indirectly from your participation in DIRECTV PERKS or the receipt or acceptance, redemption, possession, use or misuse of DIRECTV PERKS Rewards, and for any claim including claims based on defamation, publicity rights, invasion of privacy, copyright infringement, trademark infringement, or any other intellectual property related or other cause of action.


JOINING DIRECTV PERKS

To join DIRECTV PERKS, go to https://perks.directv.com click “Become a DIRECTV PERKS Member”, sign into your DIRECTV account, and agree to the DIRECTV PERKS Terms & Conditions. Follow the optional prompts below to complete your DIRECTV PERKS profile:

  1. Avatar selection

  2. Birthday (month, day)

  3. TV genre preferences

  4. Push notification opt-in

Members are responsible for keeping their email address up to date and private. DIRECTV is not responsible for any undeliverable notifications, account security violations, or if a person redeems Tokens that are not their own. Members can voluntarily opt-out of DIRECTV PERKS at any time by contacting DIRECTV Support at 1-800-531-5000. Opting out of DIRECTV PERKS will not affect your DIRECTV customer status. Members who rejoin DIRECTV PERKS under the same billing account number will retain the tokens in their account minus any tokens that have expired. Monthly tokens will not be acquired while a member is opted out of DIRECTV PERKS. If a member rejoins DIRECTV PERKS with a new billing account number, their token quantity will start over at zero. Limit one DIRECTV PERKS loyalty membership account per DIRECTV Satellite or via Internet billing account number.


EARNING TOKENS

You can earn Tokens in the following ways:

  1. DIRECTV PERKS Profile: After registering for DIRECTV PERKS, members will have the opportunity to earn Tokens for completing each of the following profile sections: birthday (month, day), TV genre preferences, and push notification opt-in. iOS users will be able to opt-in for push notifications after the DIRECTV PERKS application is installed on their wireless phones. Token quantities are determined by customer tiers which are further outlined below in section, “DIRECTV PERKS CUSTOMER TIERS”.

  2. DIRECTV PERKS Milestones: Tokens will automatically be added to your account on the day of the following DIRECTV PERKS Milestones: the 15th day of each month, your birthday, your DIRECTV customer sign-up anniversary, and at graduation from one tier to the next. Customer account must be in “good-standing” as determined by DIRECTV in its sole discretion to receive Tokens. Token quantities are determined by customer tiers which are further outlined below in section, “DIRECTV PERKS CUSTOMER TIERS”.

  3. DIRECTV PERKS Promotional Programs: You may earn additional Tokens through special promotions. These promotional Tokens will be awarded as described in the applicable Promotional Programs and will be subject to any additional terms set forth in such Promotional Programs. Token quantities are determined by customer tiers which are further outlined below in section, “DIRECTV PERKS CUSTOMER TIERS”.

DIRECTV PERKS Token earn opportunities and offers are subject to change, and may be modified, suspended or terminated at any time without notice. Offers void where prohibited by law. Other restrictions may apply.


DIRECTV PERKS CUSTOMER TIERS

DIRECTV PERKS has four (4) tiers based on DIRECTV customer tenure. Tenure is based on your most recent activation date associated with your billing account number. If you have multiple accounts associated with your DIRECTV User ID, the account with the longest tenure will be used. You will receive Tokens based on the tier that you are in after completing your DIRECTV PERKS registration. DIRECTV PERKS customer tiers are as follows:

RISING STAR: DIRECTV customers for up to two (2) years

A-LISTER: DIRECTV customers for two (2) – five (5) years

SUPERSTAR: DIRECTV customers for five (5) – ten (10) years

ICON: DIRECTV customers for over ten (10) years

DIRECTV PERKS Milestones and Token quantities outlined by tier:

RISING STAR

  • 15th day of every month = 50 tokens
  • Birthday = 200 tokens
  • Annual DIRECTV Anniversary = 300 tokens
  • Tier Graduation = n/a

A-LISTER

  • 15th day of every month = 100 tokens
  • Birthday = 200 tokens
  • Annual DIRECTV Anniversary = 350 tokens
  • Tier Graduation = 500 tokens

SUPERSTAR

  • 15th day of every month = 150 tokens
  • Birthday = 200 tokens
  • Annual DIRECTV Anniversary = 400 tokens
  • Tier Graduation = 500 tokens

ICON

  • 15th day of every month = 200 tokens
  • Birthday = 200 tokens
  • Annual DIRECTV Anniversary = 500 tokens
  • Tier Graduation = 1000 tokens

*When multiple milestones land on the same day, members will receive the allotted Token quantities for each individual milestone, except when reaching a Tier Graduation milestone members will receive the allotted Tokens for Tier Graduation instead of Tokens for their Annual DIRECTV Anniversary.

REDEEMING TOKENS

You can redeem Tokens in the following ways:

  1. DIRECTV PERKS Bonus Entries: You may redeem Tokens for sweepstakes bonus entries in addition to any free sweepstakes entries. The process whereby Tokens may be used for sweepstakes bonus entries will be described in the applicable sweepstakes and will be subject to the Official Rules set forth in such promotion.

  2. DIRECTV PERKS Promotional Programs: You may redeem Tokens for Rewards such as DIRECTV PERKS merchandise items, digital eGift cards, movie rental discounts, bill discounts, or other digital discount codes through special promotions. Tokens can be redeemed as described in the applicable Promotional Programs and will be subject to any additional terms set forth in such Promotional Programs. Promotional Programs subject to change, and may be modified, suspended, or terminated at any time without notice. Offers void where prohibited by law. Other restrictions may apply.

  3. Members may be required to provide additional information, such as their mailing address and telephone number to redeem Tokens for certain merchandise. Shipping costs are included in Token redemption for all merchandise items. DIRECTV is not responsible for any damages that may be incurred during shipment of merchandise. All Token redemptions are final, and merchandise cannot be returned. If a merchandise item is out of stock or returned as undeliverable, the redeemed Tokens will be returned to the member’s account. Apart from shipping costs, member is responsible for all applicable federal, state, and local taxes and any other costs of redeeming Tokens for DIRECTV PERKS Rewards. Tokens are not for resale or purchase and cannot be transferred or exchanged for money. Tokens or Rewards received by such means as solely determined by DIRECTV will be void. DIRECTV reserves the right to change the number of Tokens that may be required for item redemption or change the items that are available for Token redemption in their sole discretion.


TOKEN EXPIRATION

Tokens expire at the end of the twelfth (12) month in which such Tokens were earned. For example, if you earn Tokens on March 15th of the current year, they will expire on March 31st of the following year. The oldest accrued Tokens will be used first for redemptions. You can view and track your Token balance and available reward opportunities on https://perks.directv.com/ .


GENERAL TERMS

DIRECTV PERKS can be terminated at any time at the sole discretion of DIRECTV PERKS Entities. DIRECTV PERKS Entities are not responsible if DIRECTV PERKS cannot take place, or if any Reward cannot be awarded due to cancellations, delays, interruptions or failures due to acts of God, war, natural disasters, weather, acts or threats of terrorism, actual or threatened public health crises (including without limitation an epidemic or pandemic), strikes, lockouts, labor disputes, work stoppages, fire, acts of government, or other events outside of the reasonable control of DIRECTV PERKS Entities. If, for any reason DIRECTV PERKS is not capable of running as planned, including, without limitation, infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the reasonable control of DIRECTV PERKS Entities, which, in DIRECTV PERKS Entities’ sole determination, corrupts or affects the administration, security, fairness, integrity or proper conduct of DIRECTV PERKS, DIRECTV PERKS Entities reserves the right, in its sole discretion, to cancel, terminate, modify, or suspend DIRECTV PERKS or any part of the DIRECTV PERKS. If DIRECTV PERKS or any part of the DIRECTV PERKS is terminated or modified, notice will be posted on https://perks.directv.com/ . Any unredeemed Tokens at the time of DIRECTV PERKS termination or modification may be void and no longer have value. DIRECTV PERKS Entities shall have no liability for any unredeemed Tokens at the time of termination. Failure by DIRECTV PERKS Entities to enforce any term of these Terms and Conditions shall not constitute a waiver of that provision.

DIRECTV PERKS Entities assume no responsibility for and will disqualify Tokens that are: invalid, altered, tampered with, unauthorized, fraudulent, or misdirected, whether caused by any of the equipment or programming associated with or utilized in the DIRECTV PERKS, or by any human, mechanical or electronic error that may occur in the processing of the Tokens or Rewards. DIRECTV PERKS Entities assume no responsibility for any typographical or other error in the administration of DIRECTV PERKS, errors in processing Tokens or Rewards, and the delivery of Tokens and Rewards, any problems or technical malfunction of any telephone network or lines, mobile phone, computer systems, online systems, servers or providers, computer equipment, software, failure of any e-mail or players on account of technical problems or traffic congestion on the Internet or on any web site, or any combination thereof, including, without limitation, any injury or damage to participant’s or any other person’s computer system/software or mobile phone or other portable electronic device related to or resulting from participation or downloading any materials in DIRECTV PERKS. Use of any device to automate or subvert the earns of Tokens or redemption of Rewards is prohibited and any Tokens or Rewards received by such means will be void. No software-generated, robotic, programmed, script, macro or other automated Token earnings or Reward redemptions are permitted, and any redemption requests received by such means will be void. DIRECTV reserves the right in its sole discretion to disqualify any person they suspect or find: (i) to have used a software generated, robotic, programmed, script, macro or other automated system; (ii) to have tampered with the process or the operation of DIRECTV PERKS; (iii) to be acting in a disruptive manner, or with the intent to annoy, abuse, threaten or harass any other person; (iv) to display behavior that will bring such participant or DIRECTV PERKS Entities into disgrace; (v) to have provided inaccurate information on any legal documents submitted in connection with DIRECTV PERKS; or (vi) to be acting in violation of these Terms and Conditions. ANY VIOLATION OF THESE TERMS AND CONDITIONS BY A PARTICIPANT WILL RESULT IN SUCH PARTICIPANT’S DISQUALIFICATION AS A MEMBER OF THE DIRECTV PERKS AND ALL PRIVILEGES AS A MEMBER WILL BE IMMEDIATELY TERMINATED.

IN THE EVENT PARTICIPANT ATTEMPTS TO BRING A CLAIM, ACTION OR PROCEEDING AGAINST DIRECTV PERKS ENTITIES DESPITE AGREEING NOT TO DO SO IN THE ELIGIBILITY SECTION OF THESE terms and conditions, As a condition of participating in DIRECTV PERKS, participant agrees that: (i) under no circumstance will participant be permitted to obtain awards for, and participant hereby waives all rights to claim, punitive, incidental, consequential or any other damages, other than for out-of-pocket expenses; (ii) PARTICIPANT WAIVES THE RIGHT TO A JURY TRIAL OF ANY AND ALL ISSUES AND THAT all causes of action arising out of or connected with DIRECTV PERKS, or any tokens or rewards awarded, shall be resolved individually -- without resort to any form of class action -- by BINDING arbitration (by a single neutral arbitrator selected by DIRECTV in its sole and absolute discretion) ; and (iii) any and all claims, judgments and awardS shall be limited to actual out-of-pocket costs incurred, but in no event SHALL SUCH CLAIMS, JUDGMENTS OR AWARDS INCLUDE attorneys' fees. DIRECTV PERKS shall be governed by and construed in accordance with the laws of the state of Colorado.

ANY ATTEMPT BY ANY PERSON TO DELIBERATELY DAMAGE ANY WEBSITE ASSOCIATED WITH DIRECTV PERKS OR UNDERMINE THE CONTENT OR THE LEGITIMATE OPERATION OF DIRECTV PERKS MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAW AND SHOULD SUCH AN ATTEMPT BE MADE, DIRECTV PERKS ENTITIES WILL DISQUALIFY ANY SUCH PERSON, AND DIRECTV PERKS ENTITIES RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEYS’ FEES) FROM ANY SUCH PERSON OR PERSONS TO THE FULLEST EXTENT PERMITTED BY LAW.


PERSONAL USE

DIRECTV PERKS is intended for personal use only. Commercial use is prohibited. DIRECTV PERKS is not targeted towards, nor intended for use by, anyone under the age of 18.


DISPUTE RESOLUTION BY BINDING ARBITRATION

Any dispute arising out of this agreement or the Perks Program is subject to binding Arbitration ON AN INDIVIDUAL BASISpursuant to the provision contained in your applicable DIRECTV terms of service. THIS MEANS YOU GIVE UP JURY TRIALS OR CLASS ACTIONS.


INDEMNIFICATION

You shall indemnify, defend and hold harmless DIRECTV and its collaborators, suppliers and licensors, and their officers, directors, agents and employees (the “Indemnified Parties”) from and against any claim, proceeding, loss, damage, fine, penalty, interest and expense (including, without limitation, fees for attorneys and other professional advisors) arising out of, in connection with or related to the following:

  1. Your use of the Device (including to access any Third Party Content and Services);

  2. Your breach of this Agreement;

  3. Your violation of law;

  4. Your negligence or willful misconduct; or

  5. Your violation of the rights of a third party. You will promptly notify DIRECTV in writing of any third party claim arising out of or in connection with Your use of the Device. These obligations survive termination of this Agreement.


GOVERNING LAW, LIMITATION ON ACTIONS

This Agreement shall be governed by and construed in accordance with the laws of the State of Colorado, excluding its conflicts of law principles. This Agreement shall not be governed by the United Nations Convention on Contracts for the International Sale of Goods, the application of which is expressly excluded. To the maximum extent permitted by applicable law, You and DIRECTV agree that any cause of action arising out of or relating to this Agreement or Your use of the Device must commence within one (1) year after the applicable cause of action accrues in accordance with the dispute resolution provision. Otherwise, such cause of action is permanently barred.

SEVERABILITY

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall not be affected and shall remain valid and enforceable to the fullest extent permitted by law.


WAIVER

Except as provided herein, the failure to exercise a right or require performance of an obligation under this Agreement shall not affect a party’s ability to exercise such right or require such performance at any time thereafter nor shall the waiver of a breach constitute waiver of any subsequent breach.


MODIFICATION AND AMENDMENT

DIRECTV reserves the right to change or modify these Terms and Conditions or any policy, FAQ, offer, promotion, benefit or guideline pertaining to DIRECTV PERKS, in whole or in part, at any time and in its sole discretion. Any changes or modifications will be effective immediately and may be posted to https://perks.directv.com/terms-and-conditions, so please check back from time to time. You waive any right you may have to receive specific notice of such changes or modifications, and your continued access to or participation in DIRECTV PERKS following any such changes or modifications confirms your acceptance. If you do not agree to these Terms and Conditions, you must stop accessing and participating in DIRECTV PERKS.


SURVIVAL

Any provisions of this Agreement which by their express language or by their context are intended to survive the termination of this Agreement shall survive such termination.
